Gray is typically a surface condition. The sun breaks down the top layer of wood fibers, and rain and snow wash the dead material loose. Under that thin gray layer, the wood is usually sound.

But here's what happens when you call around. - Deck builders quote a rebuild, because rebuilds are what they sell. Painting companies quote a coat of stain over the weathered surface, which looks better for a season and then peels, because stain can't grip dead fibers. 

Sanding is what actually fixes a gray deck: the failed layer comes off, clean wood comes up, and sealer can finally reach wood that will hold it.
